End-User License Agreement
This Agreement governs use of the 4D Finance Integration ("the Software"), an internal accounting integration owned and operated by 4th Dimension Recovery Center ("4D").
1. Scope
The Software is for 4D's internal use only. It is not sold, licensed, distributed, or made available to the public or to any other organization. Permitted users are employees and contractors of 4D who have been authorized by 4D to use it.
2. License
Subject to this Agreement, 4D grants authorized users a non-exclusive, non-transferable, revocable right to use the Software solely to perform accounting work on behalf of 4D. No other rights are granted.
3. Restrictions
Authorized users may not:
- copy, distribute, sublicense, sell, or otherwise transfer the Software or access to it;
- use the Software for any purpose other than 4D's own accounting operations;
- use the Software to access any QuickBooks Online company other than 4D's, or the data of any organization other than 4D and the organizations for which it serves as fiscal sponsor;
- share, export, or store credentials outside the systems 4D has approved for that purpose.
4. Ownership
The Software, including its source code and documentation, is the property of 4D. Work performed by contractors in connection with the Software is delivered to 4D, and nothing in this Agreement transfers ownership to any user.
5. Third-party services
The Software operates against QuickBooks Online and other third-party platforms. Use of those platforms is governed by their own terms. 4D is not responsible for the availability, accuracy, or behavior of third-party services.
6. No warranty
The Software is provided "as is," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. 4D does not warrant that the Software will be uninterrupted or error-free.
Accounting entries produced by the Software are subject to review and approval by authorized 4D finance personnel before they are relied upon. The Software does not replace professional judgment, internal control, or independent audit.
7. Limitation of liability
To the fullest extent permitted by law, 4D shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to use of the Software.
8. Termination
4D may suspend or terminate any user's access at any time and for any reason. Access ends automatically when a user's employment or engagement with 4D ends. Sections 4, 6, 7, and 9 survive termination.
9. Governing law
This Agreement is governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules.
